Clear and transparent terms governing your use of our PEPPOL e-invoicing platform. Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing and using aiDoks's PEPPOL e-invoicing platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (individual or entity) and aiDoks ("Company", "we", "us", or "our").

2. Service Description

aiDoks provides a cloud-based platform for creating, managing, and transmitting PEPPOL-compliant electronic invoices. Our services include:

  • Invoice generation and validation
  • PEPPOL BIS 3.0 compliance tools
  • Multi-language support
  • API access (on applicable plans)
  • PEPPOL network connectivity
  • Document storage and management

3. Account Registration and Security

3.1 Registration

To use the Service, you must:

  • Provide accurate, current, and complete information
  • Be at least 18 years old or the age of majority in your jurisdiction
  • Have the authority to bind your organization (if registering on behalf of a company)
  • Maintain and update your information to keep it accurate

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access
  • Using strong passwords and security practices

4. Subscription and Payment

4.1 Subscription Plans

We offer various subscription plans with different features and limitations. Plan details and pricing are available on our pricing page.

4.2 Billing and Payment

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payments are due on the subscription start date and renewal dates
  • All fees are non-refundable except as required by law
  • Prices are subject to change with 30 days notice
  • Failed payments may result in service suspension

4.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful business purposes in compliance with these Terms and applicable laws.

5.2 Prohibited Activities

You may not:

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Transmit malicious code or harmful content
  • Attempt to gain unauthorized access to the Service
  • Reverse engineer or decompile the Service
  • Use the Service to send spam or fraudulent invoices
  • Resell or redistribute the Service without authorization
  • Interfere with other users' use of the Service

6. Data and Content

6.1 Your Data

You retain all rights to the invoice data and content you create using the Service. You grant us a limited license to process, store, and transmit your data solely to provide the Service.

6.2 Data Responsibility

You are responsible for:

  • The accuracy and legality of your invoice data
  • Obtaining necessary consents to process personal data
  • Compliance with tax and accounting regulations
  • Backing up critical data

6.3 Backups

While we perform regular backups, you are responsible for maintaining your own backups of critical data.

7. Intellectual Property

The Service, including all software, designs, trademarks, and content (excluding your data), is owned by aiDoks and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription period, subject to these Terms.

8. Termination

8.1 Termination by You

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial periods.

8.2 Termination by Us

We may suspend or terminate your account if you:

  • Breach these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Create security or legal risks

8.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease
  • You may export your data within 30 days
  • We may delete your data after 30 days (subject to legal retention requirements)

9. Warranties and Disclaimers

9.1 Service Warranty

We will provide the Service with reasonable care and skill. We strive for 99.9% uptime but cannot guarantee uninterrupted service.

9.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Third-party actions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes liability for death, personal injury, fraud, or other liabilities that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless aiDoks from claims, damages, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of laws or third-party rights
  • Your invoice data and content

12. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of Estonia, without regard to conflict of law provisions.

Any disputes shall be resolved through:

  1. Good faith negotiations
  2. Mediation (if negotiations fail)
  3. The courts of Tallinn, Estonia (for litigation)

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and aiDoks.

14.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

14.3 No Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
